According to the published notice, the merger in question consists of the acquisition, by Prénatal Retail Group, S.p.A. (Prenatal), exclusive control over the Production Unit of Toys “R” Us Iberia, S.A.U. (“TRU Spain”) and, indirectly, on its Portuguese subsidiary, Toys “R” Us Portugal – Brinquedos e Artigos Juvenis, Lda. (“TRU Portugal”).

Prénatal, present in Portugal with stores selling children's products under the Prénatal brand, is owned by Artsana, S.p.A., which also sells childcare products through specialised stores, including Chicco stores, also present in Portugal.

The two companies are part of the Investindustrial Group, which invests mainly in the industrial and service sectors, retail distribution, leisure and business services.
